General terms and conditions 

 A) HOTEL ACCOMMODATION AGREEMENT TERMS AND CONDITIONS
 1.  Scope of Application

The following general terms and conditions (hereinafter “Hotel Accommodation Agreement Terms and Conditions”) apply to contracts for the rental provision of hotel rooms for accommodation, as well as all other services and deliveries provided to the customer by The Yarn GmbH (hereinafter “Hotel”) located in Horgen ZH, Switzerland.

The subletting or further leasing of the provided rooms, as well as their use for purposes other than accommodation, require the prior written consent of the Hotel.

The customer’s general terms and conditions do not apply.

TheTerms and Conditions are also available in English. In case of discrepancies,the German version shall prevail.

 2. Conclusion of Contract

An individual reservation is valid without a left guarantee until 4:00 PM on the day of arrival. With a room guarantee, your reservation is preserved throughout the night even if you arrive after 4:00 PM. 

Guarantees for a room reservation include:

  • Credit card (Visa, American Express, Diners Card, Mastercard)
  • Prepayment for one night, e.g., via bank or postal transfer
  • Written guarantee from the Hotel

An offer for group reservations is explicitly labeled as such and must be returned to the Hotel signed by the customer. An offer is valid for 7 days (acceptance period). This specifically means that quotes, price lists, etc., issued by the Hotel do not constitute a binding offer.

The Hotel expressly reserves the right to release rooms for sale again during and after the expiration of the acceptance period for the group reservation offer. A new request may include variations from the first offer.

 3. Services and Prices

The customer does not acquire a claim for the provision of specific rooms, but the Hotel commits to keeping rooms of the reserved category available. If an equivalent room as reserved is not available upon arrival due to unforeseen reasons, accommodation will be provided in a room of the next higher category.

The customer is obliged to pay the prices applicable or agreed for the room provision and the further services utilized by them. This also applies to services and expenses of the Hotel induced by the customer to third parties.

Prices are in CHF, per room/night, including free Wi-Fi, service, and VAT. The city tax per person/night is not included.

4. Room Handover and Return

Booked rooms are available to the customer from 3:00 PM on the agreed day of arrival.

The customer has no claim to earlier access to the room.

Unless otherwise determined, on the agreed departure day, rooms must be vacated and made available to the hotel by 11:00 AM at the latest. Thereafter, due to the delayed vacating of the room, the Hotel may charge 50% of the full lodging price (list price) for its use beyond the contract until 6:00 PM, and 100% after 6:00 PM.

5. Payment

Invoices from the Hotel without a due date are payable within 10 days from receipt of the invoice without deduction. The Hotel is entitled to demand immediate payment of accrued claims at any time.       

The Hotel is entitled to demand a reasonable advance payment or security deposit at the time of contract conclusion or thereafter. The amount of the advance payment and the payment deadlines are specified in the offer.      

If the customer is domiciled abroad, the Hotel reserves the right to charge the total invoice amount to the guarantee credit card. Any currency differences or bank charges are at the customer’s expense.

The customer can only offset a claim against the Hotel’s claim if it is undisputed or legally binding.

6. Cancellation Conditions

Individual reservations are generally considered definitive once the Hotel’s offer has been confirmed. In the case of a short-term withdrawal after the cancellation period has expired, an overnight stay can be charged at 100%. However, unless otherwise specified, the following conditions apply for individual reservations:

  • Cancellation until 12:00 PM on the day of arrival: no cost
  • cancellation after 12:00 PM on the day of arrival: cost of one overnight stay
  • The cancellation conditions for group reservations depend on the group size and are regulated separately. If no separate cancellation conditions exist, the following rules apply:
  • Cancellation up to 60 days before arrival free of charge
  • Cancellationup to 30 days before arrival 50% of the expected total turnover
  • Cancellation up to 14 days before arrival 100% of the expected total turnover
7. Hotel’s Right to Cancel

If the customer has a free cancellation right according to the previous paragraph 6 or a separate agreement, the Hotel is entitled to cancel the contract during this period if there are inquiries from other customers for the contractually booked rooms and the customer, upon inquiry from the Hotel, does not waive their free cancellation right.

If an agreed advance payment is not made even after a reasonable extension period set by the Hotel, the Hotel is also entitled to cancel the contract.

Furthermore, the Hotel is entitled to extraordinarily cancel the contract for a materially justified reason, for instance, if:

Force majeure or other circumstances for which the Hotel is not responsible make fulfilling the contract impossible

Rooms are booked under misleading or false indication of essential facts, e.g., regarding the person of the customer or the purpose

The Hotel has justified cause to believe that the use of the Hotel’s services might endanger the smooth operation, security, or reputation of the Hotel in public, without it being attributable to the Hotel’s domain or organizational area

There is a breach of the above-mentioned paragraph 5.

In the event of a justified withdrawal by the Hotel, the customer has no right to compensation.

8. Bookings via Travel Agents

For bookings made through a travel agent, the agent’s general terms and conditions apply.

9. Liability

The hotel room must be used with utmost care by the customer. The customer or the company is liable for any damages incurred. The Hotel declines any liability for theft, etc., and in relation to third-party services. Furthermore, the Hotel is only liable for intentional or grossly negligent contractual or non-contractual direct damages. Any further liability is excluded.

11. Final Provisions

In addition to the Hotel Accommodation Agreement Terms and Conditions, further provisions and booking conditions may apply, which take precedence over the Hotel Accommodation Agreement Terms and Conditions. Amendments or supplements to the accepted offer or these Terms and Conditions should be made in writing. Unilateral changes or supplements by the customer are ineffective. 

The place of performance and payment is the location of the Hotel.     

Swiss law applies with exclusive jurisdiction in Zurich.        

Should individual provisions of these Hotel Accommodation Agreement Terms and Conditions be or become invalid or void, this shall not affect the validity of the remaining provisions. Otherwise, statutory provisions apply.

 
B)    EVENTS AGREEMENT TERMS AND CONDITIONS
1. Scope of Application

The following general terms and conditions for events (hereinafter “Events Agreement Terms and Conditions”) apply to The Yarn GmbH, located in Horgen ZH, Switzerland, regarding the rental provision of seminar, banquet, and event spaces (hereinafter “spaces”) as well as related additional services or deliveries to and for the customer or organizer. The subleasing or further leasing of the provided spaces or areas, as well as invitations to job interviews, sales, or similar events, require the prior written consent of the Hotel.        

The general terms and conditions of the renter or organizer do not apply.       

The AGB is also provided in English. In case of discrepancies, the German version shall prevail.

2. Reservation

An offer for the rental provision of spaces is explicitly labeled as such and must be returned to the Hotel signed by the customer. An offer is valid for 7 days (acceptance period). This specifically means that quotes, price lists, etc., issued by a Hotel do not constitute a binding offer. The Hotel expressly reserves the right to release spaces for sale again during and after the expiration of the acceptance period for the offer. A new inquiry may include variations from the first offer.

3. Prices

The price lists are individual, and price changes are reserved. All prices are in CHF, including service and statutory value-added tax. The prices confirmed in writing by the Hotel apply.

4. Payment

Invoices from the Hotel without a due date are payable within 10 days from receipt of the invoice without deduction. The Hotel is entitled to demand immediate payment of accrued claims at any time. The Hotel is entitled to demand a reasonable advance payment or security deposit at the time of contract conclusion or thereafter. The amount of the advance payment and the payment deadlines are specified in the offer. If no separate advance payment conditions exist, the following rules apply:

  • Advance payment up to 30 days before arrival 50% of the expected total revenue
  • Advance payment up to 14 days before arrival 100% of the expected total revenue
  • If the organizer is domiciled abroad, the Hotel reserves the right to charge the total invoice amount to the guarantee credit card or to demand payment in full before the event. Any currency differences or bank charges are at the organizer’s expense. The customer can only offset an undisputed or legally binding claim against a claim of the Hotel.
5. Joint and Several Liability for Payment

If the client is not simultaneously the organizer, they are jointly and severally liable with the organizer for the entire invoice amount. This liability also extends in cases where direct payment was expressly agreed.

6. Cancellation Conditions

Cancellations are only accepted in written form. The Hotel reserves the right to adjust the cancellation conditions individually according to the type and size of the event and to integrate them into the offer/reservation confirmation.

if no separate cancellation conditions exist, the following rules apply:

  • Cancellation up to 60 days before arrival free of charge
  • Cancellation up to 30 days before arrival 50% of the expected total revenue
  • cancellation up to 14 days before arrival 100% of the expected total revenue     
  • 14 days to 48 hours before the event, deviations of up to a maximum of 10% of the number of participants can be reported and are binding. If the actual number of persons on the day of the event is smaller, the definitively confirmed number serves as the basis for billing. Additional costs incurred by the additional participants will be charged. The maximum room capacities set by the fire police must not be exceeded.
7. Hotel’s Right to Cancel

If the customer has a free cancellation right according to the previous paragraph 6 or a separate agreement, the Hotel is entitled to cancel the contract during this period if there are inquiries from other customers for the contractually booked spaces and the customer, upon inquiry from the Hotel, does not waive their free cancellation right.        

If an agreed advance payment is not made even after a reasonable extension period set by the Hotel, the Hotel is also entitled to cancel the contract.       

Furthermore, the Hotel is entitled to extraordinarily cancel the contract for a materially justified reason, for instance, if:

  • There is a breach of the above-mentioned paragraph 4
  • There is a breach of the following paragraph 8
  • In the event of a justified withdrawal by the Hotel, the customer has no right to compensation.
8. Detailed Information and Procedure

For detailed arrangements, an appointment must be made in advance. To guarantee a smooth course of the event, all important information (e.g., equipment, menu selection, schedule, show acts, etc.) must be provided to the Hotel at the latest 10 days before the event. The agreed program times must be strictly adhered to by both parties.

9. Room Usage

In exceptional cases, the Hotel is entitled to make short-term room changes without notification for events. The Hotel reserves the right in any case to provide a room suitable for the number of participants and the nature of the event in case of reduced participant numbers. Reception tables, promotional materials, banners, etc., may only be set up in consultation with the Hotel outside the rented spaces. Public areas of the Hotel may not be used for group work, which should take place in the agreed group rooms. Smoking is prohibited in all areas of the Hotel. A CHF250- fine plus any damage cost will be charged for anyone smoking in the hotel.

10. Menu Adjustments

The Hotel reserves the right to make menu adjustments and vintage changes for wines.

11. Corkage Fee

The organizer and their guests are generally not allowed to bring their own food and beverages to events. Exceptions require a written agreement with the Hotel.

If own wines, spirits, cakes, etc., are brought in, a corkage fee to cover overhead costs will be charged together with the total amount.

12. Decoration and Flowers

The attachment of decorations or other objects requires permission, including for fire safety reasons. Any damage caused by affixing etc. will be charged to the organizer.

13. Parking

Parking is normally available at or near the Hotel. Unless otherwise agreed, the organizer or individual participants bear the parking fees.

14. Technical Equipment and Connections

To the extent the Hotel procures technical and other equipment from third parties for the organizer at their request, it acts in the name, on behalf, and at the expense of the organizer. The organizer is liable for the careful handling and proper return. They indemnify the Hotel from all third-party claims resulting from the provision of these facilities.

The use of the organizer’s own electrical devices using the Hotel’s power network requires the Hotel’s written consent. Disruptions or damage to the Hotel’s technical facilities caused by the use of these devices are at the organizer’s expense, as long as the Hotel is not responsible for them. The Hotel may charge a flat rate for the electricity costs incurred by the use.

With the consent of the Hotel, the organizer is entitled to use their own telephone, fax, and data transmission equipment. The Hotel may charge a connection fee for this.

If suitable equipment of the Hotel remains unused due to the organizer’s connection of their own equipment, a compensation charge may be calculated.

Disruptions to technical or other equipment provided by the Hotel will be remedied as soon as possible. Payments cannot be withheld or reduced as long as the Hotel is not responsible for these disruptions.

A technician for technical support during an event can be provided in consultation with the Hotel. Minor tasks can always be carried out upon request by the Hotel. For larger congresses with image/sound/microphone support, it is recommended that the organizer hires an external technician for support. No cost reduction can be derived from technical malfunctions or defects.

15. Fire Safety Regulations

The organizer commits to comply with the fire safety regulations of the Hotel, especially keeping emergency exits clear, and guarantees that all materials brought in comply with fire safety guidelines. The use of flammable objects is strictly prohibited.

16.  Material Delivery and Collection

Deliveries and collections for events must be coordinated with the Hotel and notified in writing to the Hotel well in advance, at least before their arrival. The Hotel reserves the right to refuse shipments without a sender or valid addressee including the event’s details. The Hotel declines any obligation or liability resulting from this. Since the Hotel’s storage space is limited, the Hotel may refuse to accept materials before the event day.     

When shipping from abroad to Switzerland, customs & VAT are always incurred in addition to shipping costs. If the courier cannot provide the exact costs upon delivery, we reserve the right to charge a flat fee of CHF 100.- on the organizer’s invoice.

17. Musical

Entertainment, Closing Hour, and Night Surcharge      

For events with music, it is to be noted that music is only permitted at room volume after 11:00 PM. DJs and bands are obliged to keep the bass reduced and to cover the floor under the instruments with a carpet to dampen sound. The maximum duration of play is until 2:00 AM. For outdoor speaker system music performances, a permit must be applied for from the city police 4 months before the event. If the instructions are disregarded, additional costs are borne by the organizer. Copyright compensation related to musical performances must be clarified by the organizer themselves and are at their expense.

If an event lasts longer than the legally permitted police hour, a night surcharge must be paid. The extension of the closing hour must be registered with the Hotel at least 1 month before the event. The required police permit will be obtained by the Hotel and charged to the organizer.

After 11:00 PM, windows and doors must be kept closed, and the volume of the music reduced. Guests staying outdoors are asked to keep quiet. The instructions of the hotel staff must be followed. The organizer is liable for complaints and any fines.

A surcharge per hour may be charged for staff working during the event from 11:00 PM onwards.

18. Guest Rooms

For the booking of guest rooms, the “Hotel Accommodation Agreement Terms and Conditions” apply. In addition/differently, the following provisions apply.

Breakfast is usually included in the room rate. Deviations are communicated in writing.

For events with overnight stays, the Hotel receives a room list from the organizer at the latest 14 days before the arrival of the hotel guests with the following information for each guest: First and last names / Arrival and departure dates / Payment conditions.

In the case of a contingent booking without a room list from the organizer, the hotel rooms must be booked directly by the guests and individually guaranteed with a valid credit card. After the deadline set by the Hotel has expired, the remaining available rooms of the respective contingent will be released for open sale again. The organizer is liable in any case for unpaid costs of the rooms booked by their guests and their consumptions (No Shows, minibar, etc.).

19. Liability and Duty of Care

The provided spaces and materials must be used with the utmost care by the guest.

The organizer is liable for any material damage or loss in every case. The Hotel declines any liability for theft, damages, and in relation to third-party services. This also applies to personal injuries unless caused by Hotel employees. The Hotel is liable within the scope of legal provisions.

21. Final Provisions

In addition to the AGB Events, further provisions and booking conditions may apply, which take precedence over the AGB Events. Amendments or supplements to the accepted offer or these Terms and Conditions should be made in writing.
